About these terms
These terms apply when you use redmesa.dev or hire Red Mesa Development ("Red Mesa"), a software studio based in Calgary, Alberta, for websites, marketing, RedSuite, or custom software and AI. "We" means Red Mesa. "You" means the business or person working with us.
A signed quote or written project agreement can add details for a specific project. If it conflicts with these terms, the quote or agreement wins for that project.
Quotes and payment
We give you a fixed quote before work starts. The quoted price is the price, unless you ask for work outside the agreed scope. If that happens, we tell you the cost in writing and wait for your approval before doing it.
Invoices are due within the time shown on the invoice. Monthly services, such as marketing packages and RedSuite modules, are billed at the start of each month. Prices are in Canadian dollars and do not include GST unless stated.
Websites and free hosting
Our flat price website includes design, build, launch, and hosting at no monthly cost. Free hosting covers normal traffic for a typical business website. If a site needs far more resources, such as heavy file storage or very high traffic, we will talk with you about options before anything changes.
If we ever stop offering free hosting, we will give you at least 60 days notice and help you move your site to a host of your choice.
Marketing services
For social media management, we post on your behalf using access you grant us. You can review and approve content before it goes out. We follow each platform's rules, but we do not control the platforms and cannot guarantee reach, followers, or sales. You can remove our access at any time.
RedSuite
RedSuite is billed monthly for the modules you choose. You can add or remove modules at any time, and changes apply from your next billing month. The data you put into RedSuite is yours. You can export it whenever you like, including when you cancel.
If you choose the self hosted option, you are responsible for the hardware, network, and backups it runs on. We provide the software and the support described in your agreement.
Custom software and AI
Custom projects follow four steps: discovery, fixed quote, build, and launch with support. The scope, timeline, and support period are written into your quote.
AI tools make predictions and can be wrong. We design them to support your decisions, and you remain responsible for decisions made using their output. Where an AI tool relies on a third party service, that service's own terms also apply.
Ownership
You own what we build for you. Once a project is paid for, the website, designs, content, and custom code we made for you belong to you.
Some general tools we reuse across projects, and RedSuite itself, stay ours. You receive a permanent right to use any of those pieces that are part of your project. Third party items such as fonts, stock photos, or plugins keep their own licences.
Your responsibilities
You confirm that you have the right to use the logos, photos, text, and other material you give us. You agree not to use our services or hosting for anything illegal, harmful, or that infringes on someone else's rights.
We may pause a hosted site or account that breaks these rules. We will contact you first unless there is an urgent risk to others.
Limits of liability
We work hard to keep everything running, but no service is online 100 percent of the time. To the extent the law allows, our total liability for any claim is limited to the amount you paid us for the service in question during the 12 months before the claim. We are not liable for indirect losses such as lost profits or lost data.
Ending our work together
You can cancel monthly services at any time with notice before your next billing month. For project work, you pay for work completed up to the date you cancel. When we part ways, we hand over your files, code, and data so you can keep using them.
Governing law
These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. If a disagreement comes up, we will try to sort it out by talking first.
Changes and contact
We may update these terms. When we do, we change the effective date above, and we email active clients about important changes. Questions? Email us.
